Designated use of the profit - reserve

The credit balance that is given in the results account after all charges, the general costs, the necessary provisions and debit entries have been deducted, forms the pure profit of the company. A minimum of one twentieth is also deducted to form the statutory reserve until this amounts to one tenth of the authorised capital. The designated use of the remaining balance will be decided at the general meeting, on the suggestion of the Board of Directors.

No payments may be made if on the last day of the financial year the net assets, according to the annual accounts, have decreased, or as a result of payments would decrease, below the amount of the capital paid in, added to all reserves that according to the law or the articles of association may not be paid out.


Interim dividends

The Board of Directors is authorised to pay out an interim dividend, based on the results of the financial year. Such payments are only permitted from the profit of the current financial year, in such cases reduced by any loss carried over or increased by any profit carried over, yet without withdrawal from the reserves that should be built up according to the law or statutory conditions.


Payment of dividends

The payment of dividends takes place annually in one payment or on several occasions at times set by the Board of Directors.
